This is an agreement between EnGrande S.L. (henceforth EnGrande), with registered address at c/ Caponata 5, Bajos 1. 08034 Barcelona, SPAIN, and with VAT number B-62064845., and The ACCOMMODATION (henceforth ACCOMMODATION) - which can be a Hotel, Hostel, Apartment, Bed & Breakfast, or any other establishment dedicated to providing temporary accommodation. 1. EnGrande SL agrees to: 1.1 Provide access to Internet reservation services (software / web pages) so that rooms / apartments can be reserved by end-user clients through an online reservations system. This online reservations system consists of a network of EnGrande websites and EnGrande-affiliated websites which display information, prices, and real-time availability of accommodation offerings. 1.2 Process new bookings, charging the end-user client EnGrande’s commission (as agreed between EnGrande and the ACCOMMMODATION) and provide the client with the corresponding invoice, together with the confirmation of the reservation, and with the dates and details of the reservation. In addition, EnGrande will send all of this information to the ACCOMMODATION via email, (or FAX upon request). The amount which the end-user client must pay the ACCOMMODATION upon arrival at the accommodation will be clearly stated to the end-user client, and to the ACCOMMODATION. 1.3 Provide the ACCOMMODATION with the end-user client’s credit card details, either through a secure, password protected extra-net, or by telephone, in order that the ACCOMMODATION may charge the card for the amount stipulated in the cancellations policy, as well as the amount of the first night, in the case that the client does not present him/herself at the hotel to make use of their reservation, or cancels the reservation later than the ACCOMMODATION´s stated cancellation policy allows. The ACCOMMODATION chooses its own cancellation policy. If the ACCOMMODATION is a Hotel, Hostel or Bed & Breakfast, it will choose to allow up to either 24 hrs, 48 hrs, or 72 hrs. before the client’s arrival date as an acceptable time to cancel, without penalty. If the ACCOMMODATION is an Apartment, it will choose to allow up to either 1 week, or 2 weeks before the client’s arrival date as an acceptable time to cancel, without penalty. 2. The ACCOMMODATION agrees to: 2.1 Notify EnGrande SL of receipt of new reservations sent by EnGrande via email, by clicking a link next to new reservations received. 2.2 Provide accurate, up-to-date information about the availability and price of the accommodation, and accept the consequences of not doing so. All reservations made by EnGrande based on the prices and availability on offer at the time of reservation, are 100% confirmed. The ACCOMMODATION is responsible for updating the prices and availability of the rooms to avoid over booking. Also update prices for all dates available in the online calendar, i.e. the next 2 years; alternatively the ACCOMMODATION can block the relevant months / year if the new prices are not yet available. 2.3 Provide to EnGrande all the necessary information in order to advertise the ACCOMMODATION and make bookings on any of the EnGrande web pages or EnGrande affiliated web pages. This includes providing photos, room descriptions, amenities lists, and UPDATING RATES AND AVAILABILITY WITHIN 7 DAYS after receiving from EnGrande the access code to the EnGrande extranet. The establishment hereby authorizes EnGrande to duplicate information from their own web page including, logo, trademark, photos and descriptions. 2.4 Honour and fulfil all CONFIRMED RESERVATIONS sent to the ACCOMMODATION by EnGrande, including those where the arrival date is later than the date of termination of the contract between the ACCOMMODATION and EnGrande, should either party decide to terminate the contract. 2.5 Implement and respect price parity across all distribution channels. Always offer rooms at the lowest prices set by the ACCOMMODATION and other websites advertising the ACCOMMODATION. The price set by the ACCOMMODATION in the EnGrande system must be the minimum offered for a particular date, wherever the room is being advertised – in the ACCOMMODATION´s own web page, other websites or at the ACCOMMODATION itself. The ACCOMMODATION acknowledges that EnGrande will charge the end-user a 5 EUROS booking fee for each reservation made online. 3. Cancellation policy All reservations made through our Internet Site will be subject to the cancellation policy specified online by the ACCOMMODATION at the time the reservation is made. Any changes made by the ACCOMMODATION to the online cancellation policy after the reservation has been made/cancelled will not be taken into account. 4. Duration of the contract / Termination of the contract: 4.1 Either of the two parties, the ACCOMMODATION or EnGrande S.L. may cancel the contract at any time, informing the other party in writing with one (1) month’s notice.
